Use of the theme is licensed and contingent upon full payment and adherence to the terms outlined below.
The Client acknowledges that all rights, title, and interest in the Theme, including its code, design, and underlying intellectual property, remain the property of the Contractor unless explicitly transferred in writing. The Client is granted a non-transferable, non-exclusive license to use the Theme solely for their own business operations. The Theme may not be resold, sublicensed, distributed, or otherwise monetized, in whole or in part, without prior written permission from the Contractor. Any unauthorized resale or distribution will be considered a material breach of this agreement and subject to additional licensing fees, including but not limited to retroactive royalties equal to 75% of gross revenues derived from such use.

Work begins once the agreed deposit or full payment has been received. Delayed payments may result in paused development and rescheduled timelines.
While I strive to meet all estimated delivery windows, timelines may shift due to feedback cycles, unexpected technical complexity, or third-party dependencies (e.g. app integrations, client responsiveness). I will communicate proactively if delays occur.
If the client is unresponsive for more than 10 business days at any point during the project, the timeline will be considered paused. Resuming may require rebooking and may result in a new timeline and additional fees.
Final handoff (deployment to live store, theme zip delivery, or access to private repos) will only occur once all outstanding invoices are paid in full. Until then, all deliverables remain in staging or developer-access state.
All payments are non-refundable unless otherwise agreed upon in writing. If a project is canceled before development begins, a partial refund (up to 50%) may be issued at my discretion. Once work has started, all payments are considered earned.
Use of the theme is licensed, not sold. If payment terms are breached, or licensing terms are violated, I reserve the right to revoke access, disable updates, or remotely restrict theme use (when technically applicable). Unauthorized use may result in retroactive licensing fees and/or legal action.
All projects include a post-delivery support window (15–30 days depending on tier). Support includes bug fixes and guidance related to the original scope. It does not include new features, content changes, third-party issues, or general store management. Support beyond this window is billed at the hourly retainer rate.
I am not liable for any direct or indirect losses, damages, or revenue impacts resulting from project delays, technical bugs, app malfunctions, platform updates (e.g. Shopify changes), or client-side modifications made after delivery.
